Terms of Service

Effective date: November 5, 2026
Last updated: November 5, 2026
These Terms of Service (“Terms”) govern access to and use of Covermatic, operated by Your Profit Partners AI LLC (“Covermatic,” “we,” “us,” or “our”) at covermaticapp.com.

1. Agreement

By creating an account, completing onboarding, accessing the manager dashboard, sending or receiving Covermatic SMS messages, or otherwise using the service, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a restaurant or other business, you represent that you have authority to bind that entity. If you do not agree, do not use Covermatic.

“Customer,” “you,” or “restaurant” means the business that purchases or trials Covermatic. “End users” means the Customer’s managers and employees who interact with Covermatic.

2. The service

Covermatic is software that helps independent restaurants handle shift call-offs and coverage primarily over SMS. Features may include:

We may modify, suspend, or discontinue features with reasonable notice when practicable. Beta or trial features may change without notice.

3. Accounts and eligibility

Customers must provide accurate restaurant and manager contact information and keep passwords confidential. Each restaurant account is intended for that restaurant’s legitimate staffing operations. You are responsible for activity under your credentials and for the registered manager phone number used with the SMS assistant.

You must be at least 18 years old (or the age of majority where you live) to create a Customer account. Covermatic is a workplace tool; Customers are responsible for complying with child-labor and employment laws when enrolling younger workers as end users.

4. Customer responsibilities (including employee consent)

You are responsible for obtaining and documenting all required employee consents before adding employee phone numbers to Covermatic or causing Covermatic to send them SMS messages. This includes TCPA, CTIA, carrier, and any state or local consent requirements that apply to workplace texting.

Without limiting the above, Customer agrees to:

Covermatic logs certain SMS consent events (for example invite sent, opted in, opted out) to support compliance, but logging does not transfer Customer’s legal obligations to Covermatic.

5. SMS terms

Message frequency varies. Msg & data rates may apply. End users may reply STOP to opt out, START to re-subscribe, and HELP for help, or email info@yourprofitpartners.ai. Carriers are not liable for delayed or undelivered messages. Mobile numbers and SMS opt-in consent are not shared or sold to third parties or affiliates for marketing. See the Privacy Policy for details.

6. Acceptable use

You may not, and may not allow others to:

We may suspend or terminate access for violations, suspected fraud, non-payment, or risk to the service or others.

7. Billing, trials, and taxes

[BILLING TERMS TBD] — Pricing, trial length, renewal, cancellation, refunds, and payment methods will be stated on an order form, checkout page, or written agreement with Covermatic. Unless otherwise stated, fees are non-refundable. Trials may convert to paid plans or expire (including any grace period configured on the account). Customer is responsible for applicable taxes.

If an account is paused, expired, or inactive, Covermatic may stop processing SMS for that restaurant and may limit dashboard access as described in product behavior and any order form.

8. AI features

Covermatic uses third-party AI services (including OpenAI) to interpret messages and assist managers. AI outputs can be incorrect or incomplete. Customer remains responsible for staffing decisions, confirmations, and communications sent to employees. Do not rely on Covermatic as the sole system of record for legal, payroll, or HR compliance obligations.

9. Intellectual property

Covermatic, including software, branding, and documentation, is owned by Your Profit Partners AI LLC or its licensors. Customers receive a limited, non-exclusive, non-transferable right to use the service during an active subscription or trial. Customers retain ownership of their restaurant and employee content submitted to the service, and grant Covermatic a license to host and process that content solely to provide and improve the service.

10. Third-party services

The service depends on third parties including Twilio, OpenAI, Supabase, Render, and Resend. Outages, delays, or policy changes at those providers may affect Covermatic. Your use of those providers through Covermatic is subject to their applicable terms and policies in addition to these Terms.

11. Disclaimers

COVERMATIC IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY OPEN SHIFT WILL BE FILLED. WE ARE NOT YOUR EMPLOYER AND DO NOT PROVIDE LEGAL, HR, OR COMPLIANCE ADVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Your Profit Partners AI LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO COVERMATIC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR ONE HUNDRED U.S. DOLLARS (US $100) IF NO FEES WERE PAID).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

13. Indemnification

Customer will defend, indemnify, and hold harmless Your Profit Partners AI LLC and its affiliates from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) Customer’s use of Covermatic; (b) employee or end-user claims related to SMS messaging, scheduling, or employment decisions; (c) Customer’s failure to obtain required consents; or (d) Customer’s violation of these Terms or applicable law.

14. Termination

Either party may terminate an unpaid trial at any time. Paid plans terminate according to the applicable order form or [BILLING TERMS TBD]. We may suspend or terminate immediately for material breach, unlawful use, non-payment, or risk to the platform. Upon termination, Customer’s right to use Covermatic ends, and we may delete or retain data as described in the Privacy Policy. Sections that by nature should survive (including disclaimers, liability limits, indemnity, and governing law) will survive termination.

15. Governing law

These Terms are governed by the laws of the State of North Carolina, excluding conflict-of-law rules. Exclusive venue for disputes shall be the state or federal courts located in North Carolina, unless applicable law requires otherwise. [DISPUTE RESOLUTION / ARBITRATION TBD if desired]

16. Changes to these Terms

We may update these Terms by posting a revised version on this page and updating the effective date. Continued use after the effective date constitutes acceptance of the revised Terms, except where additional consent is required by law or by a negotiated written agreement.
